VII. EXIT of the PARTICIPANT from COMPANY
7.1. The participant has the right at any time to leave from Company irrespective of the consent other it of the participants. For want of it to it cost of a part of property appropriate it to a share in the authorized capital should be paid, and also the part of the profit of Company which is being a subject to distribution between the participants, for period, past from the date of a realization of the previous distribution of the profit of Company before date of an exit of the participant from Company, is proportional it to a share in the authorized capital.
7. 2. In case of an exit of the participant from Company he (it) notifies on it in writing other participants not later than 20 calendar days prior to prospective date of withdrawal from Company.
In time not later than 14 calendar days after deriving the advice the Chairman of general meeting is obliged to call extraordinary general meeting, on which is made a decision on the order, method, form, terms of a realization of payments due to the participant according to item 1 of the present unit.
The participant has the right to require a realization of payments in time not later than three months from the date of decisionmaking by general meeting.
7.3. The participant has the right to appeal in the judicial order of an operation or inaction of other participants, which infringe it the right of withdrawal from Company, as: the failure in convocation or delayed convocation by the Chairman of extraordinary general meeting, failure in payment or delayed payment of cost of a share, belonging to the participant, and is equal other violations.
7.4. The share of the participant should be realized by Company to other participants or third faces in the correspondence with positions of the Charter of Company.
The cedation of a share to the third faces attracts transition to the purchaser of the rights and responsibilities of the participant.
